1. Acceptance of Terms

By accessing or using the NK Intel website (nkintel.com) or any NK Intel services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Services. "NK Intel", "we", "our", and "us" refers to NK Intel.

2. Services

NK Intel provides an enterprise AI governance platform and related advisory services that help organisations discover, assess, and govern artificial intelligence systems. The Services include our web-based platform, APIs, documentation, and any associated professional services.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice where commercially practicable.

3. Eligibility and Accounts

The Services are intended for use by businesses and professionals. By using the Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent.

If you register for an account, you are responsible for:

—Maintaining the confidentiality of your login credentials.

—All activities that occur under your account.

—Notifying us immediately of any unauthorised access or security breach.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

—Use the Services in any way that violates applicable local, national, or international laws or regulations.

—Attempt to gain unauthorised access to any part of the Services, servers, or networks connected to the Services.

—Transmit unsolicited commercial communications or engage in any form of spamming.

—Reverse engineer, decompile, or disassemble any part of the Services.

—Use automated means (including bots, scrapers, or crawlers) to access or collect data from the Services without our prior written consent.

—Upload or transmit viruses, malware, or any other malicious code.

—Interfere with or disrupt the integrity or performance of the Services.

5. Intellectual Property

All content, software, technology, designs, text, graphics, logos, and other materials that form part of the Services are owned by or licensed to NK Intel and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes, subject to these Terms.

Nothing in these Terms transfers any intellectual property rights to you. You must not copy, reproduce, republish, distribute, or create derivative works of any NK Intel content without our prior written consent.

6. Customer Data

You retain ownership of all data you upload or submit to the Services ("Customer Data"). By submitting Customer Data, you grant NK Intel a limited licence to process that data solely for the purpose of providing the Services to you.

You are responsible for ensuring that your use of the Services and the Customer Data you provide complies with applicable data protection laws, including POPIA and GDPR where applicable. For details on how we handle personal information, please refer to our Privacy Policy.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

This obligation does not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was already known to the receiving party prior to disclosure; or (c) is required to be disclosed by law or court order.

8. Payment and Billing

Where the Services are provided under a paid subscription or contract, payment terms will be set out in a separate order form or service agreement. All fees are exclusive of applicable taxes unless stated otherwise.

We reserve the right to suspend access to the Services in the event of non-payment following reasonable notice.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

NK Intel does not warrant that: (a) the Services will be uninterrupted, error-free, or secure; (b) any results obtained from the use of the Services will be accurate or reliable; or (c) any errors in the Services will be corrected.

Nothing in these Terms excludes or limits warranties that cannot be excluded or limited under applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, NK Intel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of or inability to use the Services.

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of: (a) the amounts paid by you to NK Intel in the twelve months preceding the claim; or (b) ZAR 1,000.

These limitations apply regardless of the theory of liability and whether or not NK Intel has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless NK Intel and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of or access to the Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

12. Third-Party Links and Services

The Services may contain links to third-party websites or services that are not owned or controlled by NK Intel. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

We encourage you to review the terms and privacy policies of any third-party services you access through our Services.

13. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms or if we reasonably believe your use poses a risk to the Services or other users.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. If we make material changes, we will provide notice by email or prominent notice on our website.

Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be submitted to the jurisdiction of the South African courts.

16. General

—Entire Agreement — These Terms, together with any applicable order forms and our Privacy Policy, constitute the entire agreement between you and NK Intel with respect to the Services.

—Severability — If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

—Waiver — Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

—Assignment — You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
